Keras Resources, the AIM listed mineral resource company, has announce that, at the Annual General Meeting (AGM) of the Company held on 12 October 2026, all resolutions as set out in the Notice of Annual General Meeting were duly passed by shareholders. Detailed voting results are set out below.

Accordingly, the company confirmed the following:
- Completion of Cornerstone acquisition – the acquisition of an initial 51% interest in Cornerstone Mining (Cornerstone) has completed, marking an immediate and significant strategic transition towards copper exploration, development and production in Namibia.
- Clear strategic focus on copper – the sale of Keras US LLC which paves the way for the new strategy to build a focussed copper exploration, development and production company, initially centred on Cornerstone’s portfolio of contiguous copper licences covering approximately 6 214 hectares in Namibia’s emerging underdeveloped Kaoko Copper Belt.
- Near-term copper development potential – the company intends to quantify and develop known shallow copper oxide mineralisation, targeting a pathway towards early production and cash flow, while exploring the deeper sulphide potential to define a larger-scale copper resource.
- Local Mining Claim partnerships – agreements with local Namibian Mining Claim (MC) holders in place to jointly develop projects within the licence areas, providing an additional exposure to small-scale copper production generating immediate revenue, while supporting local participation.
- Option for increased ownership – in addition to its controlling 51% interest, the Company has an option to acquire a further 19% interest in Cornerstone providing a pathway to increase its ownership to 70% as the assets are advanced and quantified.
- Staged development strategy – staged strategy in place combining shallow oxide development, Mining Claim partnerships and systematic exploration and resource definition across the wider Cornerstone portfolio. The longer-term objective is to delineate and develop a significant deeper copper sulphide resource capable of supporting larger-scale production.
- Funded, debt free and royalty exposure – following the fundraising and disposal of Keras US LLC, the Company is debt free and funded to advance its copper strategy, while retaining an uncapped US$10 per long ton royalty on qualifying future production from Diamond Creek and income from its historic Togo manganese project.
- Change of name to Okopa plc – change of name to Okopa plc reflects the company’s new strategic direction, which will become effective on 13 October 2026. New ticker is OKP.
Okopa CEO Russell Lamming said, “Okopa has the foundations to build a significant and sustainable copper company in Namibia’s rapidly emerging Kaoko Copper Belt. Our controlling interest in Cornerstone provides a substantial, data-rich and contiguous land package, combining near-term shallow oxide production opportunities with compelling deeper sulphide exploration potential.
“With a funded, debt-free corporate structure, retained royalty exposure to Diamond Creek and a strengthened Board focused on delivery, Okopa is well positioned for its next phase of growth. Our development plan is already being implemented and is expected to generate a strong pipeline of operational and exploration news as we develop the project. Working closely with our local Mining Claim partners, we aim to create value for all stakeholders while building meaningful exposure to copper, a commodity with compelling long-term fundamentals driven by electrification, grid investment and growing global demand.
